Skintimate Studios - Official Rules

WHAT IS THE CONTEST?

The Skintimate Studios Contest (the “Contest”) invites teenage girls to express their creative ideas through the process of making and marketing films. No donation, purchase or obligation of any kind by the entrant is necessary to be selected — this is a professionally judged contest where the submissions will be judged on specific criteria described in these Contest Rules.

What can I win?

Grand Prizes
One (1) of the two (2) selected Finalist teams will be selected as Grand Prize winners. Each member of the Grand Prize winning team will be awarded a handheld mini camcorder and a $500 scholarship that can be used by the winner, by June 1, 2011 or escrowed by same date, to pay for school or educational courses given by an educational, filmmaking or creative institution. Approximate Retail Value (ARV) of each Grand Prize is $750.00. Up to nine (9) Grand Prizes will be awarded. Prizes may be limited in the event of disqualifications or ineligibility.

Runner-Up Prizes
One (1) of the two (2) selected Finalist teams will be selected as Runner-Up Prize winners. Each member of the Runner-Up Prize winning team will be awarded a handheld mini camcorder. ARV of each Runner-Up Prize is $200. Up to nine (9) Runner-Up Prizes will be awarded. Prizes may be limited in the event of disqualifications or ineligibility.

Finalist Prizes
Eighteen (18) selected Finalists will each be awarded a trip for two (2) to Los Angeles, CA for winner and her parent or guardian. The 18 Finalists will be assembled into two (2) Skintimate Studios Production Crews, each with nine Finalists. Each crew will work together over the 7-day production process to produce a 10–12 minute short film for the 2010 Skintimate Studios competition. Finalists on each crew will be responsible for auditioning and hiring actors, scouting and securing locations, props and other film incidentals, filming, editing and otherwise producing the short films. The Finalists on each crew will be mentored by a production crew from Dreaming Tree Films, consisting of at least one executive producer, creative director, director, producer and technical director.

Each trip includes roundtrip airfare for two (2) from major airport nearest winner’s home to Los Angeles, CA and one (1) double-occupancy hotel room for seven (7) nights. ARV of each Finalist Prize is $2,200.

Finalists must be available for travel for the 7-day production process, currently scheduled for July 4 – 11, 2010 or prize will be forfeited and an alternate Finalist will be identified based upon the scores determined by the Judging Panel. Finalists must be accompanied by a parent or legal guardian, or other adult relation approved by Dreaming Tree. Participation of each contributing Skintimate Studios production crew member is subject to written approval by their parents/guardians (as specified by the participant's state of residence) and the approval of Dreaming Tree Films. Dreaming Tree Films also reserves the right to reduce the total number of Skintimate Studios production crew members, as it deems necessary or appropriate in the event of ineligible or disqualified entries or an insufficient number of eligible entries are received. Participants will be responsible for attending all production sessions during the 7-day production schedule; failure to attend may result in termination from the Skintimate Studios production crew, including forfeiting of all prizes and winnings. Participants and their respective parent/guardian will be responsible for their respective conduct during and after Skintimate Studios production sessions. Failure to comply with conduct mandates may result in termination from the Skintimate Studios production crew, including forfeiting of all prizes and winnings.

All Contest prizes are not transferable, except at the sole discretion of Dreaming Tree Films. Any federal, state or local taxes on Prizes and any expenses related to the acceptance and/or use of the Prizes not specified herein as being awarded are the responsibility of the Finalists or his/her parent or legal guardian if the Finalist is considered a minor in his/her state of residence. In the event any Finalist is a minor in his/her state of residence, prizes shall be awarded in the name of the parent or guardian. This Contest is void where prohibited or otherwise regulated. All federal, state and local laws apply.

WHO CAN ENTER?
You are eligible if you are a female who is 13–18 years of age as of May 10, 2010 and live in one of the 50 United States or the District of Columbia at the time of entry and during the competition. If You are under the age of 18, you MUST get permission from your parent(s) or legal guardian prior to entering the CONTEST.

You are not eligible to enter and will be disqualified if:

You are an employee of Energizer, Dreaming Tree Films or any of their respective parents, subsidiaries and affiliated companies, advertising or promotion agencies, or a member of their immediate family (parent, children, siblings, spouse, regardless of where they live) or same household of such employees (whether related or not).

HOW DO I ENTER?
Create a video OR a written essay answering the following two (2) questions:

Why you would like to be a part of the Skintimate Studios film crew production?;
What is your best trait and why is it another reason we should select you for the Skintimate Studios program?

Only complete entries containing answers to both questions will be eligible. Entrants will be given a choice to submit either a video or a written essay for each entry. Multiple entries are accepted, but must be submitted separately. Essays may be of any reasonable length but no more than 500 words each. Videos may be any length up to five minutes. By submitting an entry, you, or your parent/legal guardian if you are considered a minor in your jurisdiction of residence, accept these full Official Rules and agree to be bound by the decisions of the judges, which will be final.

HOW TO SUBMIT YOUR VIDEO OR WRITTEN ESSAY:
Beginning at 12:00 p.m. Central Time (CT) on May 10, 2010 through 12:00 p.m. CT on June 15, 2010, submit your video or written essay online at www.skintimatestudios.com. Follow the online instructions to complete the online registration (name, birth date, mailing address, telephone number and email address, agree to these full Official Rules) and submit your entry electronically. Entries must be received between by 12:00 p.m. CT on June 15, 2010. Use of automated processes and devices to submit electronic entries are not permitted. Neither Dreaming Tree Films or Sponsor are responsible for any changes or effects caused to the entrant's computer system as a result of submitting electronic entries. Multiple entries are accepted but must be submitted separately.

Only entries submitted via the website electronic form will be accepted. Entries submitted via any other method, including but not limited to postal mail, facsimile or other express delivery services will NOT be accepted. No group entries or collaborations permitted. Dreaming Tree Films and Sponsor are not liable for any disputes between collaborators related to a submission.

DISQUALIFICATION:

By submitting your video or written essay, you agree that your entry conforms to the “Entry Guidelines and Restrictions” specified below and that Dreaming Tree Films and Sponsor, in their sole discretion, may disqualify you from the Contest if they believe, in their sole discretion, that your essay fails to conform to the Entry Guidelines and Restrictions. All entries become the property of Dreaming Tree Films when received and will not be returned. Dreaming Tree Films and its agents will not acknowledge or return any entries.

ENTRY GUIDELINES AND RESTRICTIONS:

Entries must answer both questions: (1) Why you would you like to be a part of the Skintimate Studios film crew production? and (2) What is your best trait and why is it another reason we should select you for the Skintimate Studios program?.
Entry must be original and created solely by the entrant and must be nonprofessional.
Entries must be in English
Any entry deemed inappropriate or unsuitable, in Dreaming Tree Films’ and Sponsor’s sole discretion, will be disqualified (examples of inappropriate content include, but are not limited to violence, sexual situations, drug and alcohol use, obscenity and coarse language).
Clothing worn in the video should not contain any visible logos, drawings, cartoons, phrases, trademarks or other third-party materials other than those belonging to Skintimate.
No video shall contain a performance that has been broadcast or streamed, published, or televised or as part of a recording of a motion picture film or television program.
Video must not include any antisocial, political or religious groups, any commercial solicitation or promotional materials.
Entry may not include any content that, in Dreaming Tree Films’ and Sponsor’s sole discretion is offensive to any group, obscene, profane, lewd, defamatory, contains any third-party materials other than Skintimate-related materials, or otherwise violates or infringes (or may infringe) any copyright, moral right, trademark, logo, mark that identifies a brand or other proprietary right of any person living or deceased or entity, or is otherwise objectionable.

HOW WILL ENTRIES BE JUDGED?

All entries must meet the Contest submission requirements. All Entries will be judged under the supervision of Dreaming Tree Films and Sponsor and/or its designated agencies, whose decisions are final and binding in all matters relating to this Contest. Eligible essay and video submissions will be judged based on the following criteria:

Passion / Excitement (20%)
Creativity (in answer, not in submitted format) (20%)
Originality (20%)
Appropriateness for Target Audience (meaning the content must be age appropriate) (40%)

In June 2010, eighteen (18) Finalist entries will be determined based on the entries with the highest scores during judging. In the event there is a tie, ties will be broken based on the Entry with the highest score in Appropriateness for Target Audience, and if a tie still remains, the tie will be broken based on the entry with the highest score for Originality and if a tie continues, the tie will be broken based on the entry with the highest score in Passion/Excitement. The eighteen (18) Finalists will be assembled into two (2) Skintimate Studios production crews, each with nine (9) winning "Girl Filmmakers". In the event there are not enough entries received to select eighteen (18) Finalists, the judges will select as many Finalists available based on the judging criteria and create appropriate Skintimate Studios production crews for both teams. Sponsor reserves the right not to award all prizes in the event it receives an insufficient number of eligible entries. Each Skintimate Studios production crew will produce a short film for the 2010 Skintimate Studios competition. A Skintimate Studios production crew, to be composed at the sole discretion of Dreaming Tree Films and Sponsor and consisting of at least an executive producer, creative director, director, producer and technical director, will travel to Los Angeles, CA to produce the Skintimate Studios short films. Short-film production will consist of approximately a 7-day work week. Efforts will be made to schedule film production around local school schedules and holidays. Additional production and post-production work outside of this work period may be undertaken by Dreaming Tree Films at the exclusion of the Finalists. All final creative and tactical direction is at the sole discretion of Dreaming Tree Films and Sponsor.

GRAND PRIZE WINNER SELECTION: Consumers will be invited to go online on or about August 1, 2010 at 12:00 p.m. CT, through August 19, 2010 at 3:00 p.m. CT to view the two completed short films produced by the two (2) Skintimate Studios production crews and vote for the film they feel is best based upon the following judging criteria: creativity, originality and technical execution of the overall film. Consumers will be permitted to vote an unlimited number of times during the voting period. The members of the Skintimate Studios Production Crew that produced the short film receiving the most consumer votes will each receive a Grand Prize. The members of the nonwinning Skintimate Studios production crew will receive a Runner-Up Prize. Both short films will be available for viewing and voting for equal periods of time. Dreaming Tree Films and Sponsor and their agents will not be held responsible for technical difficulties that complicate, prevent or otherwise affect electronic voting via the Web site. Furthermore, Dreaming Tree Films and its agents have implemented these Official Rules in an attempt to create a fair online voting environment and will not be held responsible for measures taken by site visitors to circumvent the voting system, or otherwise affect the outcome of the vote.

WHAT HAPPENS IF I AM SELECTED AS A SKINTIMATE STUDIOS FINALIST?

If you are one of the eighteen (18) selected Finalists you will be notified on or about June 30, 2010 via e-mail or phone or postal mail. Grand Prize and Runner-Up winners will be notified by phone on or about August 20, 2010. Finalists and their travel companions will be required to sign an affidavit of eligibility, a liability release/assignment of rights and a promotional release and return them within three days (3) of receipt of notification. Any winner notification that is returned as undeliverable or any Finalist who does not return the required documents within the specified time period may forfeit prize, subject to Dreaming Tree Films’ and Sponsor’s sole discretion, and an alternate Finalist may be determined based upon the entrant with the next highest score. Except where prohibited by law, each Finalist will be required to sign a release giving Dreaming Tree Films and Sponsor and their respective nominees full rights to use the Finalist's name, likeness, image and voice for Contest-related advertising and publicity, including such usage on the Internet. Dreaming Tree Films reserves the right to cancel this promotion at its sole discretion. If any Finalists selected are later determined not to be eligible due to the legal age of the entrant, prohibitions in the state of residence, refusal to execute any and all releases/assignments required hereunder or any other reason, any prize(s) may, at Dreaming Tree Films’ and Sponsor’s sole discretion, may be forfeited and a runner-up qualifier shall be named as the alternate winner. Any prohibited or unavailable prize may be substituted for another prize of equal or greater value. Prizes may be awarded in the name of the winner’s parent or legal guardian, who must sign and return all required documentation prior to receiving the prize.

ORIGINAL WORK AND OWNERSHIP:

By entering, each entrant warrants and represents that he or she is the sole owner of all rights to the content submitted, including all copyright and publishing rights, including any and all text, music and/or visual images and that entrant has not granted exclusive rights to all or part of the entry to any other person or entity. Previously published or submitted entries are not eligible. By submitting an entry, each entrant warrants that their entry does not invade the right of privacy of any individual; does not infringe any trademark, trade name, trade secret, intellectual property right, or other common law or statutory right; nor does it contain any material that might be deemed offensive or obscene, or that otherwise violates any criminal prohibition or the personal or proprietary rights of any person or entity. Submission of entry grants Dreaming Tree Films and its agents and assigns the right in perpetuity to reproduce, publish, distribute, use, edit, adapt and/or modify such entry in any way, in any and all media, without limitation and without compensation to entrant. Submission of entry further constitutes the entrant's consent, or in case of a minor, parent's or legal guardian's consent, to (i) irrevocably assign and transfer to Dreaming Tree Films and its assigns any and all rights, title and interest in the entry, including, without limitation, all copyrights; and (ii) use entrants' names, hometowns or likenesses (except where prohibited by law) for advertising or publicity purposes without further compensation in throughout the word.

RELEASE OF LIABILITY & PUBLICITY:

All entrants (and parent/legal guardian if entrant is a minor) release Dreaming Tree Films and Sponsor and each of their respective parents, affiliates, subsidiaries, officers, directors, agents, employees and all others associated with the development and execution of this Contest (the “Released Parties”, from any and all liability with respect to, or in any way arising from, this Contest, the use of the entries and/or acceptance or use or misuse of the prizes, including, but not limited to, liability for personal injury, bodily injury, death, damages or loss, or claims that any advertising subsequently produced, presented, and/or prepared by or on behalf of Dreaming Tree Films or Sponsor infringes entrant’s rights with regard to any elements, characters or ideas contained in any entry. Further, entrants agree to release and hold harmless the Released Parties from liability that may arise from, relate to, or is connected with entrants use of the Web site, entry into the Contest, entry submission or performance in the Skintimate Studios Crew production. Dreaming Tree Films and Sponsor are not responsible for prize quality or utility. All Finalists or their parent or legal guardian if Finalist is a minor will be required to execute such documents and perform such actions as may be required by Sponsor to irrevocably assign and transfer to Sponsor any and all rights, title and interest in the entry including, without limitation, all copyrights, and agree to forever waive all moral rights in the entry, and any rights of privacy, intellectual property rights, publicity (where lawful) and any other legal rights that might preclude Dreaming Tree Films’ or Sponsor’s use, alteration or modification of the entry or performance in the Skintimate Studios production or require the entrant’s permission to use it for any purpose. Each entrant acknowledges and agrees that Sponsor reserves the right to disqualify any potential Finalist at any time, in its sole discretion, on the basis of anything contained in or learned or obtained as a result of any submitted releases or any other forms requested by Dreaming Tree Films/Sponsor that, in its sole opinion, would constitute a breach of these Full Official Rules. Entrant and/or parent or legal guardian if entrant is a minor agrees to never sue or assert any claim against the Sponsor or any entity acting pursuant to Sponsor’s direction for any use, or alteration of such entry. By entering this Contest, entrants consent to the use of their names, photographs, voice recordings and likenesses for publicity purposes by Dreaming Tree Films and Sponsor without additional compensation or permission, where permitted by law.

INDEMNIFICATION: ENTRANT AND/OR THEIR PARENT OR LEGAL GUARDIAN IF ENTRANT IS A MINOR WILL INDEMNIFY THE RELEASED PARTIES AND HOLD HARMLESS FROM ANY AND ALL CLAIMS, DAMAGES, EXPENSES, COSTS (INCLUDING REASONABLE ATTORNEYS’ FEES) AND LIABILITIES (INCLUDING SETTLEMENTS), BROUGHT OR ASSERTED BY ANY THIRD PARTY AGAINST ANY OF THE RELEASED PARTIES DUE TO OR ARISING OUT OF THE ENTRANT’S ENTRY OR THE ENTRANT’S CONDUCT IN CREATING AN ENTRY, PARTICIPATION IN THE STUDIOS CREW OR OTHERWISE IN CONNECTION WITH THIS CONTEST, INCLUDING, BUT NOT LIMITED TO, CLAIMS FOR TRADEMARK INFRINGEMENT, COPYRIGHT INFRINGEMENT; VIOLATION OF AN INDIVIDUAL’S RIGHT OF PUBLICITY OR RIGHT OF PRIVACY; OR DEFAMATION.

OTHER CONDITIONS: All federal, state and local laws and regulations apply. Dreaming Tree Films will report value of prizes as required by law and a Form 1099 will be issued for prizes valued over $600.00. If any Finalist or Grand Prize winner is a minor in his/her state of residence, that Finalist’s parent or legal guardian must execute all documents on behalf of the Finalist. Any entry that prompts a valid legal challenge or any reasonable third-party complaint, determined in Sponsor’s sole discretion, may be removed and disqualified and any physical or monetary prize awarded in connection with any such entry will be forfeited. By entering, all entrants agree that the Skintimate Studios Contest is governed by laws of the state of Illinois for the resolution of all claims and disputes. Dreaming Tree Films and Sponsor and their promotion agencies and administrators are not responsible for lost, late, misdirected or otherwise undeliverable entries that cannot be processed due to phone, network, electronic or computer hardware or software failure, or technical failures of any kind, whether caused entrants or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of submissions which may damage a user’s system or limit a participant’s ability to participate in the Contest. Dreaming Tree Films and Sponsor assume no responsibility for any printing errors, computer system, phone line, hardware, software or program malfunctions or other errors, failures of any kinds, delayed computer transmissions or network connections that are human or technical in nature. Dreaming Tree Films and Sponsor reserve the right in their sole discretion to cancel or suspend this Contest, in its entirety or in part, should a virus, bug, tampering, unauthorized intervention, fraud, technical failures, or other causes beyond Sponsor’s or Dreaming Tree Films’ control corrupt the administration, security, fairness, integrity or proper play of the Contest, and to determine the Finalists from all eligible online entries received prior to the date of the withdrawal. Sponsor reserves the right in its sole discretion to modify, suspend or terminate the game or any portion thereof. Sponsor is not responsible for incorrect or inaccurate entry information whether caused by entrants or by any of the equipment or programming associated with or utilized in the Contest by a technical or human error that may occur in the processing of the Entries in the contest. Sponsor reserves the right at its sole discretion to disqualify any individual it finds: a) to be tampering with the entry process or the operation of the Contest or Web site; b) acting in violation of these full Official Rules; or c) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person; or d) doing anything that is or will be an offense involving moral turpitude under federal, state or local laws or that may bring Dreaming Tree Films, Sponsor or the Skintimate Studios production into public disrepute, contempt, scandal or ridicule, or that insults or offends the community or any substantial organized group thereof, or that might tend to injure the success of Dreaming Tree Films, Sponsor or the Skintimate Studios production or Sponsor’s products or services. Any attempts by an individual to access the site via a robotic, automatic, script or other brute-force attack may result in that individual’s e-mail address, entries or votes, becoming ineligible and void. Any personally identifiable information collected during an entrant’s participation in this Contest will be collected by Dreaming Tree Films and used by Dreaming Tree Films and Sponsor and their affiliates, agents and marketers, for purposes of the proper administration and fulfillment of the Contest as described in these full Official Rules and in accordance with Sponsor’s Privacy Policy as stated at DREAMING TREE FILMS RULES.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT, TO THE FULLEST EXTENT PERMITTED BY LAW. Entrant represents and warrants that entrant has not and will not engage or take part in (or induce or encourage anyone else to do so) any activity or conduct in connection with this Contest that may or is likely to harm or create a risk of harm, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to any person, other living things or any property, may or is likely to create a risk of any other loss or damage to any person, living things or any property, is or may constitute a crime, unlawful or non-consensual activities (i.e., conduct that could lead to criminal prosecution), tortious conduct (i.e., conduct that could lead to civil prosecution), or the violation or infringement of the rights of any other party.

OFFICIAL T-SHIRT DESIGN CONTEST RULES FOR THE 2010 SKINTIMATE STUDIOS PROGRAM

The T-shirt Design Contest gives teenage girls ages 13-18 the opportunity to submit their own original designs to be used on the official Skintimate Studios crew T-shirt. No donation, purchase, or obligation of any kind by the entrant is necessary to be selected – this is a professionally judged contest where the submissions will be judged on specific criteria described in these Contest Rules.

What can I win?

Grand Prize
One (1) grand prize winner will be chosen from all applicable entries and have her design used on the official Skintimate Studios crew shirt. The grand-prize winner will receive $100 for her design, a pack of Skintimate products and her name in the film credits of each of the two (2) Skintimate Studios films produced in 2010. The film credits will showcase the Grand-Prize winner’s name alongside a credit substantially similar to “Film Crew T-shirt Designed by”

T-shirt Design Requirements
A design will be disqualified if it does not adhere to the following creative guidelines:

Designs must be contained within the 11x11 inch box on the t-shirt template
Designs must be submitted in EPS, AI, or PSD format (preferred) or in .JPG or .PDF
Design files must be less than 20MB
T-shirt front must contain the Skintimate Studios logo (in any size)
T-shirt back must contain the words “Film Crew”
T-shirt design must include the program URL www.skintimatestudios.com
T-shirt can be created on any color t-shirt base, but design is limited to no more than four colors, including black or white, and are preferably colors similar to or that blend with those used in the Skintimate Studios logo
Designs must be your own original design and artwork

DISQUALIFICATION
By submitting your original t-shirt design, you agree that your entry conforms to the “T-shirt Design Requirements” specified above, and the “Entry Restrictions” specified below and that Dreaming Tree Films and Sponsor, in their sole discretion, may disqualify you from the Contest if they believe, in their sole discretion, that your entry fails conform to the T-shirt Design Requirements and/or the Entry Restrictions. All entries become the property of Dreaming Tree Films when received and will not be returned. Dreaming Tree Films and its agents will not acknowledge or return any entries.

ENTRY RESTRICTIONS:

Any entry deemed inappropriate or unsuitable, in Dreaming Tree Films’ and Sponsor’s sole discretion, will be disqualified (examples of inappropriate content include but are not limited to profanity, violent or sexually explicit imagery, drug or alcohol or imagery)
Designs should not contain any copyrighted drawings, cartoons, phrases, trademarks or other third-party materials other than Skintimate.
Designs must not include any anti-social, political or religious group references, any commercial solicitation or promotional material
Entry may not include any content that, in Dreaming Tree Film’s and Sponsor’s sole discretion is obscene, profane, lewd, defamatory, contains any third-party materials, other than Skintimate related materials, or otherwise violates or infringes (or may infringe) any copyright, moral right, trademark, logo, mark that identifies a brand or other proprietary right of any person living or deceased or entity, or is otherwise objectionable.

HOW WILL ENTRIES BE JUDGED?

All entries must meet the Contest submission requirements. All Entries will be judged under the supervision of Dreaming Tree Films and Sponsor and/or its designated agencies, whose decisions are final and binding in all matters relating to this Contest. Eligible t-shirt design submissions will be judged based on the following criteria:

Applicability to Skintimate Studios program (20%)
Creativity (20%)
Originality (20%)
Technical suitability (40%)

In June 2010, one (1) Grand Prize winner will be determined based on the entries with the highest scores during judging. In the event there is a tie, ties will be broken based on the Entry with the highest score in Applicability to the Skintimate Studios Program, and if a tie still remains, the tie will be broken based on the entry with the highest score for Originality and if a tie continues, the tie will be broken based on the entry with the highest score in Creativity. Sponsor reserves the right not to award the Grand Prize in the event it receives an insufficient number of eligible entries.

WHAT HAPPENS IF MY T-SHIRT DESIGN IS SELECTED?
If your t-shirt design is selected, you will be notified on or about June 18, 2010 via email or phone or postal mail. You will be required to sign an affidavit of eligibility, a liability release/assignment of rights and a promotional release and return them within three days (3) of receipt of notification. Dreaming Tree Films will award the $100 prize within 30 days of receipt of the affidavit. Films featuring the Grand Prize winner’s film credit will be release on or about August 2010. All final creative and tactical direction, including but not limited to how the winning design is incorporated onto the final crew t-shirt, is at the sole discretion of Dreaming Tree Films and its Sponsors. Dreaming Tree Films is under no obligation to use any submissions including, but not limited to winning submissions if Dreaming Tree Films or it Sponsor elects not to use the winning submissions as part of the Skintimate Studios program. In the event Dreaming Tree elects not to include winning submissions in connection with the Skintimate Studios program, Dreaming Tree’s sole obligations shall be to award the cash prize specified hereunder.

Any winner notification that is returned as undeliverable or any Grand Prize winner who does not return the required documents within the specified time period may forfeit prize, subject to Dreaming Tree Film’s and Sponsor’s sole discretion, and an alternate winner may be determined based upon the entrant with the next highest score. Except where prohibited by law, the Grand Prize winner will be required to sign a release giving Dreaming Tree Films and Sponsor and their respective nominees full rights to use the winner's name, likeness, and image for Contest related advertising and publicity, including such usage on the Internet. Dreaming Tree Films reserves the right to cancel or modify this promotion at its sole discretion. If any winner selected is later determined not to be eligible due to the legal age of the entrant, prohibitions in the state of residence, refusal to execute any and all releases/assignments required hereunder or any other reason, any prize(s) may, at Dreaming Tree Films’ sole discretion, may be forfeited and a runner-up qualifier shall be named as the alternate winner. OTHER CONDITIONS: All federal, state and local laws and regulations apply. Dreaming Tree Films will report value of prizes as required by law and a Form 1099 will be issued for prizes valued over $600.00. OFFICIAL MOVIE MUSIC CONTEST RULES FOR THE 2010 SKINTIMATE STUDIOS PROGRAM

WHAT IS THE CONTEST?

The Movie Music Contest gives teenage girls ages 13-18 the opportunity to submit their original music for the Skintimate Studios soundtracks for both the movies and behind the scenes. Music can be of any genre, style, and be created as an individual artist or as part of a band. If a band, the band must have at minimum one female band member and a female band member must be the contest entrant. No donation, purchase, or obligation of any kind by the entrant is necessary to be selected – this is a professionally judged contest where the submissions will be judged on specific criteria described in these Contest Rules.

What can I win?

Grand Prize
Two (2) grand-prize winners will be chosen from all applicable entries and have their original music incorporated, one winner each, into one of the two Skintimate Studios short films and their corresponding behind-the-scenes video. Each Grand-prize winner will receive $200 for her music, a supply of Skintimate product, her (or her band’s) name in the film credits of the film which features the winning music and may receive showcase of her music, band photos and bio on the Skintimate Studios website (www.skintimateStudios.com). The film credits will showcase the Grand-Prize winner’s name alongside a credit substantially similar to “Featuring the Song (name) By (winner)”.

In the event that the Grand Prize winning song is submitted by a band, then the Grand Prize will be administered to the person who’s name is featured on the entry form. The Grand Prize is delivered for the selected song, and is the same $200 regardless of the total number of band members.

All Contest prizes are not transferable, except at the sole discretion of Dreaming Tree Films. Any federal, state, or local taxes on Prizes and any expenses related to the acceptance and/or use of the Prizes not specified herein as being awarded are the responsibility of the Grand Prize winners or his/her parent or legal guardian if a Grand Prize winner is considered a minor in his/her state of residence. In the event any Grand Prize winner is a minor in his/her state of residence, prizes shall be awarded in the name of the parent or guardian. This Contest is void where prohibited or otherwise regulated. All federal, state and local laws apply.

Who can enter?
You are eligible if you are a female who is 13-18 years of age as of May 10, 2010 and live in one of the 50 United States or the District of Columbia at the time of entry and during the competition. If you are part of a band, your band may have additional male or female band members, but eligibility will be based on your submission. If You are under the age of 18 you MUST get permission from your parents or legal guardian prior to entering the CONTEST.

You are not eligible to enter and will be disqualified if:

You are an employee of Energizer, Dreaming Tree Films, or any of their respective parents, subsidiaries and affiliated companies, advertising, promotion agencies or a member of their immediate family (parent, children, siblings, spouse, regardless of where they live) or same household of such employees (whether related or not).

Music Submission Creative Requirements
A music submission will be disqualified if it does not adhere to the following creative guidelines:

Must be submitted in AIFF (preferred), WAV or MP3 format
Must be the full song and the best quality you can offer
Music file size should be no bigger than 7MB
For songs with vocals, lyrics must be uploaded into the online form where indicated

HOW TO SUBMIT YOUR ORIGINAL MUSIC

Beginning at 12:00 p.m. Central Time (CT) on May 10, 2010 through 12:00 p.m. CT on June 25, 2010 submit your original song or audio track online at www.skintimateStudios.com. Follow the online instructions to complete the online registration (full name, mailing address, telephone number, email address, birthdate, gender school name, agree to these full Official Rules) and submit your entry electronically. Entries must be received between by 12:00 p.m. CT on June 25, 2010. Use of automated processes and devices to submit electronic entries are not permitted. Neither Dreaming Tree Films or Sponsor are responsible for any changes or effects caused to the entrant's computer system as a result of submitting electronic entries. Multiple entries are accepted but must be submitted separately.

Only entries submitted via the website electronic form will be accepted. Entries submitted via any other method, including but not limited to postal mail, facsimile or other express delivery services will NOT be accepted. Dreaming Tree Films and Sponsor are not liable for any disputes between collaborators related to a submission.

You (and any band members) will be required to sign an affidavit of eligibility, a liability release/assignment of rights and a promotional release and return them within three days (3) of receipt of notification. If you are one member of a band, and/or a the song affiliate with the entry is written and/or performed by additional band members, then each band member will need to sign and return such affidavit. Dreaming Tree Films will award each winner their $200 prize within 30 days of receipt of the affidavit(s). Films featuring the Grand Prize winner’s film credit will be release on or about August 2010. All final creative and tactical direction, including but not limited to how the music submission is incorporated onto the final films or behind-the-scenes videos is at the sole discretion of Dreaming Tree Films and its Sponsors.
